These Terms of Service (“Terms”) govern your purchase and use of services provided by Okirus Solutions Inc., operating as RevOptimus (“RevOptimus,” “we,” “us,” or “our”), a company incorporated in Ontario, Canada. By purchasing or using any RevOptimus service, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

Specific deliverables, timelines, and terms for each engagement are defined in the applicable Service Agreement signed by both parties.
Our services are designed for SaaS companies and B2B professional service firms. By purchasing, you represent that you have the authority to bind your organization to these Terms and any applicable Service Agreement.
Payment terms are specified in the applicable Service Agreement or at the point of purchase. For Optimus Pipeline Activation, full payment is due at the time of purchase. For Signal-Driven Revenue OS engagements, payment terms are defined in the scoping proposal and Service Agreement. All payments are processed via Stripe or direct invoice. Prices are listed in the currency specified at checkout and are exclusive of applicable taxes unless otherwise stated.
Service periods begin as defined in the applicable Service Agreement. For OPA engagements, the 90-day service period begins on the Guarantee Start Date, which is the date on which all onboarding gates have been completed. For Revenue OS engagements, timelines are defined in the scoping proposal. RevOptimus will deliver services in accordance with the timelines and deliverables outlined in the applicable Service Agreement.
Specific guarantees, if any, are defined in the applicable Service Agreement for each engagement. RevOptimus does not guarantee specific revenue outcomes, number of deals closed, engagement rates, or business results. We design and build systems; their performance is influenced by how they are used, monitored, and evolved — either by your team or through ongoing partnership with us. Results depend on factors including data quality, market conditions, the Client’s follow-up practices, and the Client’s use of delivered systems.
Refund terms are specified in the applicable Service Agreement. For OPA engagements, the 14-Day Reactivation Guarantee provides for an automatic 50% refund if specified deliverables are not met within 14 business days. No refund is provided for Client-initiated cancellations after work has commenced unless otherwise specified in the Service Agreement. For Revenue OS engagements, refund and cancellation terms are defined in the applicable Service Agreement.
The Client is responsible for providing accurate and complete data, participating in scheduled onboarding, discovery, and review sessions, responding to communications in a timely manner, and managing all follow-up on leads or opportunities surfaced by RevOptimus. Specific Client responsibilities are detailed in the applicable Service Agreement.
All Client data remains the property of the Client. RevOptimus processes, structures, and enriches data as part of service delivery but does not claim ownership. Upon service completion, data is retained for a period defined in the applicable Service Agreement, after which it is permanently deleted. RevOptimus may retain anonymized, aggregated performance data for internal benchmarking purposes.
Where applicable, reactivation emails are sent from dedicated sending domains managed by RevOptimus. The Client’s primary business domain is never used for campaign sending. RevOptimus manages sending infrastructure, warmup protocols, and deliverability independently.
RevOptimus conducts all email campaigns in compliance with applicable anti-spam legislation, including Canada’s Anti-Spam Legislation (CASL) and the U.S. CAN-SPAM Act. All campaign emails include clear sender identification, a valid physical address, and a functional unsubscribe mechanism. The Client represents that leads provided were collected lawfully and that the Client has a legitimate basis for contacting them.
RevOptimus retains ownership of all proprietary methodologies, frameworks, tools, and system architectures used in service delivery, including the Signal-Driven Revenue OS™ methodology and all related processes. The Client receives a non-exclusive, non-transferable license to use any systems, workflows, or assets built and delivered as part of their engagement for their own internal business purposes. This license does not extend to resale, redistribution, white-labeling, or replication for third parties.
Each party agrees to maintain the confidentiality of all non-public information received from the other party in connection with any engagement. This includes Client data, business information, pricing terms, system architecture details, and performance data. Confidential information may not be disclosed to third parties without prior written consent, except as required by law. This obligation survives the termination of these Terms.
RevOptimus’s total aggregate liability shall not exceed the total fees paid by the Client for the applicable engagement. In no event shall RevOptimus be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost business opportunities, arising out of or related to any engagement.
RevOptimus reserves the right to decline or terminate engagements with businesses in prohibited industries, including gambling, adult content, controlled substances, weapons, or other high-risk verticals as determined by RevOptimus.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
RevOptimus may update these Terms from time to time. Changes will be posted on this page with an updated “Last updated” date. Material changes will be communicated to active Clients via email. Continued use of services after modifications constitutes acceptance of the updated Terms.
